1. Acceptance of the Terms

By accessing the website, requesting information, contacting the Company through its online channels, or using any of the Company’s services, you confirm that you have read, understood and accepted these Terms. If you do not accept these Terms, please stop using the Company’s website and services.

2. Definitions

  • “Website” means the argosy.co.th website and other pages under the same domain, including the Company’s official online channels.
  • “Services” means the contract manufacturing of cosmetics, cosmeceuticals and beauty products, formulation development, packaging sourcing and design, product notification/registration, and other related services.
  • “Customer” means any individual or legal entity that contacts, enquires about, orders from, or uses the services of the Company.
  • “Quotation” means a document issued by the Company to a customer setting out the scope of work, price and conditions of that particular job.

3. Nature of Information on the Website

The information, images, prices, sample formulas and other details appearing on the website and the Company’s online channels are provided for promotional and general information purposes only. They do not constitute a legal offer and are not binding on the Company until the Company issues a written quotation to the customer specifically.

The Company may update, amend or remove information, product listings, services and prices on the website at any time without prior notice.

4. Requesting a Quotation and Placing an Order

  • Customers may request a quotation through the channels designated by the Company. Pricing depends on the product type, formula, size, packaging quantity and scope of work.
  • The prices quoted by the Company are valid for the period stated in each quotation. After that period, the Company reserves the right to adjust prices in line with raw-material costs and changed conditions.
  • An order is complete when both parties confirm it in writing and the customer makes payment in accordance with the terms set out in the quotation/contract.
  • The minimum order quantity (MOQ), production lead time and payment terms are as stated in the quotation/contract for each job.

5. Formulation, Samples and Pre-Production Approval

  • Formulation and sample development proceed as agreed. The cost of formula/sample trials is as stated in the quotation and, in some cases, may be offset as a discount against the actual production order under the agreed conditions.
  • The customer must review and approve the formula, sample, colour, fragrance, label and packaging artwork in writing before production begins. Once approved, the Company will manufacture in accordance with the approved sample.
  • Any change to details after approval may incur additional costs and affect the production schedule, and the Company will notify the customer before proceeding.

6. Manufacturing Standards and Product Notification

Manufacturing is carried out at a licensed production facility and in accordance with the standards for which the Company is certified. Details of the standards, certificates and scope of certification are as stated on the Our Standards page.

Product notification/registration with government authorities (such as the Thai Food and Drug Administration, or Thai FDA) is carried out as stated in the quotation/contract, based on the information and documents provided by the customer. The customer acknowledges that approval is at the discretion of the government authority and that timelines may change.

7. Customer Duties and Responsibilities

  • Provide accurate and complete information, documents and text to be shown on labels/packaging, in compliance with the relevant laws.
  • Be responsible for the advertising text, product claims and packaging information specified by the customer, which must not claim to treat diseases or make any other claim prohibited by law.
  • Warrant that they hold lawful rights in any trademarks, trade names, patterns and designs provided to the Company for use, and that these do not infringe the rights of any third party.

8. Intellectual Property

All content, images, text, trademarks, logos and designs on the website are the property of the Company or its licensors. Copying, modifying, publishing or commercial use without the Company’s written consent is prohibited.

For formulas and documents developed by the Company for a customer, the rights of use are as stated in the quotation/contract for that job.

9. Confidentiality

Both parties agree to keep information received from each other during contact and performance (such as formulas, business information, customer data, prices and packaging designs) confidential, and not to disclose it to third parties unless with written consent or where disclosure is required by law.

10. Production Schedule and Delivery

  • The production and delivery schedule is as stated in the quotation/contract, counted from the date the Company receives the information, documents, approved sample and full payment (as applicable).
  • The Company will notify the customer if the schedule changes due to circumstances beyond the Company’s control, such as raw-material shortages or delays, natural disasters, disease outbreaks, political events, or government orders.
  • Delivery of goods and shipping costs are as agreed in the quotation/contract.

11. Inspection, Claims, and Replacement/Returns

  • The customer should inspect the quantity and condition of the goods immediately upon receipt. If damage or any discrepancy from the approved sample is found, please notify the Company with evidence (photos/videos) within the period agreed in the contract.
  • Goods custom-manufactured for a specific customer cannot be exchanged or returned, except where the error arises from the Company’s manufacturing process or the goods do not match the approved sample.
  • Once notified and after verification, the Company will correct or remake the goods as appropriate within a mutually agreed period.

12. Limitation of Liability

The Company is responsible only for manufacturing in accordance with the approved sample and scope of work. In any case, the Company’s liability will not exceed the value of the goods in the relevant order, and the Company is not liable for indirect losses such as lost profits, lost business opportunities or damage to reputation, except where caused by the Company’s wilful misconduct or gross negligence, or where the law provides otherwise.
